Introduction and Acceptance. By accessing and using the Fintent Deal Sourcing Platform (“Platform”), you agree to these Terms of Use, our Privacy Policy, and any documents incorporated by reference. You agree that these Terms of Use form a legally binding agreement between you and Fintent Inc. If you do not agree to these terms, do not use the service.

Account Creation. To use the Platform, we will ask for your contact and company information. We will provide you with a randomly generated account password. You agree to provide true, accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your account and password and are fully responsible for all activities that occur under your account.

Grant of License. Subject to your compliance with these Terms of Use and your payment of any applicable fees, Fintent Inc grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for your personal or business purposes.

Access. Your access to the Platform is provided on an “as-is” and “as available” basis. We reserve the right to withdraw or modify aspects of the Service, or the entire Service, without notice.

Intellectual Property (IP) Rights. All rights, titles, and interests in and to the Service, including all software, data, text, images, sounds, videos, and other content therein (“Service Content”), are and will remain the exclusive property of Fintent Inc and its licensors. The Service is protected by copyright, trademark, and other laws both in the United States and other countries. Except for the limited rights explicitly granted to you in these Terms of Use, no other rights are granted, whether implied or otherwise. Unauthorized use of our IP may result in penalties or legal actions.

Restrictions. You may not (i) remove any copyright, trademark, or other proprietary notices from any part of the Service; (ii) reproduce, modify, distribute, or create derivative works based on the Service; or (iii) reverse engineer, decompile, or attempt to extract the source code of the Service, unless explicitly permitted by applicable law.

Feedback and Suggestions. Any feedback, comments, ideas, improvements, or suggestions (collectively, “Suggestions”) provided by you to Fintent Inc with respect to the Service shall remain the sole and exclusive property of Fintent Inc. We shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or any compensation to you.

Usage Restrictions. By using the Platform, you agree to the following:

• Authorized Use Only: Access or use the Service only as permitted by this agreement. Unauthorized access is prohibited and may lead to account termination.
• No Reselling or Repurposing: Do not rent, sell, or modify the Service without our written consent.
• Reverse Engineering: Decompiling or attempting to extract the underlying code of the Service is not allowed.
• Automated Interactions: Do not use bots or scripts for automated interactions without our permission.
• Content Guidelines: Do not post content that is unlawful, harmful, or violates intellectual property rights. Uploading malicious software is forbidden.
• No Misrepresentation: Do not impersonate others or falsely state affiliations.
• Legal Compliance: Always use the Service in line with applicable laws and regulations.

Violations may result in termination and potential legal action. We reserve the right to investigate and act upon any suspicious or inappropriate activity.

Data Security. Fintent Inc uses commercially reasonable administrative, technical, and organizational measures designed to protect data stored on or processed through the Platform against unauthorized access, loss, misuse, or disclosure.

You acknowledge that no system can be guaranteed to be 100% secure, and Fintent does not warrant that unauthorized access, hacking, data loss, or other security breaches will never occur. You agree to use reasonable security practices when accessing the Platform, including safeguarding account credentials and promptly notifying Fintent of any suspected unauthorized access.

Confidentiality. Each party agrees to use reasonable efforts to maintain the confidentiality of any non-public, proprietary, or confidential information disclosed or made available through use of the Platform, including but not limited to platform interactions, analytics, reports, data outputs, pricing, and technical information (“Confidential Information”).

Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was lawfully known to the receiving party prior to disclosure; (iii) is independently developed without use of the Confidential Information; or (iv) is rightfully obtained from a third party without breach of any confidentiality obligation.

Each party may disclose Confidential Information if required to do so by law, regulation, or court order, provided that (where legally permitted) the disclosing party gives prompt notice to allow the other party to seek protective relief.

Payment Terms. Your access and use of the Platform will require a monthly or yearly payment. The following terms apply to such paid features:

• Subscription Plans: We offer various subscription plans. The features and pricing of these plans are outlined on our pricing page. All subscriptions are billed in advance and are non-refundable.
• Billing Cycle: Monthly subscriptions will be billed on the same day each month. Annual subscriptions will be billed in one upfront payment and will renew each year on the same date.
• Payment Methods: We accept payments via credit card, PayPal, and bank transfers. It’s your responsibility to maintain valid payment information on file.
• Late Payments: If we’re unable to process your payment, we’ll notify you. If the payment isn’t resolved within 14 days, your service may be suspended until the payment is received.
• Price Changes: Prices of all services are subject to change with 30 days notice. Any changes will be communicated via email or through the Platform.
• Upgrades/Downgrades: Changing your subscription plan will be prorated based on the remaining time in your current billing cycle. Upgrades will be charged immediately, while downgrades will be reflected in the next billing cycle.
• Cancellations: You can cancel your subscription at any time from your account dashboard. No refunds will be provided for unused time in your billing cycle.
• Taxes: All listed prices are exclusive of any taxes, levies, or duties imposed by taxing authorities. You’re responsible for payment of all such taxes, levies, or duties.
• Refund Policy: Unless otherwise specified in writing by us, all fees are non-refundable.

Content. Any content you upload or post remains your responsibility. We do not claim ownership of your content, but you grant us a license to use it.

Termination. We may suspend or terminate your access to the Service at our discretion. Failure to comply with the Terms of Use may result in the termination or suspension of your account.

Limitation of Liability. Fintent Inc shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Service.

Indemnification. You agree to indemnify and hold harmless Fintent Inc from any claims or disputes arising out of your misuse of the Service.

Changes to the Terms of Use. We may update these Terms of Use from time to time. Users are expected to review the Terms of Use periodically.

Governing Law & Jurisdiction. These Terms of Use are governed by the laws of New York. Disputes shall be resolved in the courts of New York.
